These Terms of Service (“Terms”) are a binding agreement between you and Wheel Folio (“Wheel Folio,” “we,” “us”) governing your access to and use of the Wheel Folio website, application, and related features (the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and able to form a binding contract to use the Service.
Wheel Folio is a personal record-keeping and analytics tool for options traders using the wheel strategy (cash-secured puts, covered calls, and LEAPS). It helps you log trades you have made and view summaries, calculations, and reports based on the data you enter.
Wheel Folio is not a broker-dealer, investment adviser, financial planner, accountant, or tax-preparation service. It does not execute trades, hold or transfer funds or securities, connect to your brokerage, or provide personalized recommendations. It is a software utility, and nothing in it is an offer, solicitation, or recommendation to buy or sell any security or to adopt any strategy.
All content, tools, calculators, screeners, Greeks, prices, projections, performance figures, and reports in the Service are provided for informational and educational purposes only and do not constitute financial, investment, legal, or tax advice, nor a recommendation that any security, transaction, or strategy is suitable for you. Options trading involves substantial risk, including the risk of losing more than your initial investment, and is not suitable for every investor. You are solely responsible for your own trading and financial decisions and should consult a licensed financial adviser before acting.
The Service may generate realized-gains and other tax-related summaries, exports, and CSV files (the “Tax Summaries”). Tax Summaries are an unofficial convenience feature that reorganizes the trade data you entered. They are not tax advice, a tax return, an IRS form, or a substitute for the Form 1099-B and other tax documents your broker or financial institution provides.
Tax Summaries assume U.S. tax treatment, are limited to the data you have entered, and do not calculate wash-sale adjustments, Section 1256 treatment, qualified-covered-call holding-period rules, state taxes, or other special cases; certain situations (such as possible wash sales) may be flagged for your review only, without adjustment. Figures may be incomplete or incorrect, including where your entries are incomplete or inaccurate.
You are solely responsible for the accuracy and completeness of your tax filings. You must independently verify every figure against your broker’s 1099-B and official records and consult a qualified tax professional before filing. To the fullest extent permitted by law, Wheel Folio disclaims all responsibility and liability for any taxes, penalties, interest, audits, filings, or other consequences arising from your use of, or reliance on, any Tax Summary or other output of the Service.
The Service’s outputs are only as accurate as the information you enter. You are responsible for the accuracy, completeness, and legality of the data you input. Wheel Folio performs calculations on that data on an as-entered basis and does not independently verify it against any brokerage, exchange, or official source. You are responsible for maintaining your own independent records.
The Service may display market data, quotes, option chains, Greeks, and earnings information sourced from third parties (for example, market-data providers), and may serve advertising through third-party networks. Such data may be delayed, inaccurate, incomplete, or unavailable, and is provided “as is.” Wheel Folio does not guarantee any third-party data and is not responsible for it or for any third-party service, site, or content.
THE SERVICE AND ALL CONTENT, DATA, CALCULATIONS, AND REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. Wheel Folio does not warrant that the Service will be uninterrupted, secure, error-free, or that any figure, calculation, or report is accurate, complete, or reliable. You use the Service at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WHEEL FOLIO OR ITS OPERATOR, OWNERS, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, TRADING OR INVESTMENT LOSSES, LOST DATA, TAX PENALTIES OR INTEREST, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY OUTPUT OF IT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHEEL FOLIO’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNTS YOU ACTUALLY PAID TO WHEEL FOLIO FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID WHEEL FOLIO ANYTHING IN THAT PERIOD (INCLUDING IF YOU USE A FREE PLAN), WHEEL FOLIO’S TOTAL AGGREGATE LIABILITY FOR ALL SUCH CLAIMS WILL BE ZERO. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to indemnify, defend, and hold harmless Wheel Folio and its operator, owners, and contributors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use or misuse of the Service, your trading or tax decisions, your reliance on any output of the Service, your violation of these Terms, or your violation of any law or the rights of any third party.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree not to misuse the Service, including by attempting to access it without authorization, disrupting it, scraping it, reselling it, or using it to violate any law. We may suspend or terminate accounts that violate these Terms.
Paid plans are billed through our third-party payment processor (Stripe) on a recurring basis until cancelled. You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Except where required by law, payments are non-refundable and partial periods are not prorated. We may change plan features and pricing prospectively on notice.
The Service, including its software, design, and content (excluding the data you enter), is owned by Wheel Folio and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own personal, non-commercial use in accordance with these Terms. You retain ownership of the data you enter.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without cause or notice. Sections that by their nature should survive termination — including disclaimers, limitations of liability, indemnification, and governing law — will survive.
We may modify or discontinue the Service or any feature at any time. We may also update these Terms; the “Last updated” date above reflects the latest version, and your continued use after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the United States and the State of Alabama, without regard to its conflict-of-law rules. You agree first to try to resolve any dispute informally by contacting us. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Alabama, and you consent to venue there. To the extent permitted by law, you and Wheel Folio each waive any right to a jury trial and to participate in a class or representative action, and agree that claims may be brought only in an individual capacity.
